Terms of Service & Privacy Policy Agreement

1. Information Collection

The platform collects data that the user voluntarily provides when creating an account (such as name, email address, phone number, uploaded photos and files, and entity type — individual or company). The platform may also automatically collect certain device, browser, and IP address information to improve the user experience and secure accounts.

2. Use of Data

Collected data is used for the following purposes:

• Operating and managing the platform and delivering services to users.
• Verifying accounts and confirming the identity of individuals and companies.
• Processing secure financial payments through the escrow and digital wallet system.
• Sending notifications related to jobs, system updates, and the platform's promotional offers.

3. Data Protection and Sharing

Platform management is committed to applying the highest technical security and encryption standards to protect users' personal data and financial records from breach or leakage. The platform undertakes not to sell, rent, or share this data with any external party for marketing purposes, except official judicial authorities in the case of a binding legal request, or the platform's approved electronic payment gateways and payment processors.

4. Cookies

The platform uses cookies to save user preferences and facilitate the login process. Users may disable these cookies from their browser settings, though this may affect the operation of some platform features.

1. Non-Circumvention

Both the talent seeker and the talent acknowledge and agree that all communications, negotiations, and fee payment/receipt for any project originating on this platform must take place entirely within the platform. Exchanging external contact channels or arranging payments outside the platform's financial system is strictly prohibited.

Consequences of violation: If an attempt or completion of off-platform dealing to evade fees and commissions is proven, platform management has the full and automatic right to:

• Permanently and fully ban the accounts of both the "Talent" and the "Talent Seeker" from using our services in the future.
• Immediately and fully freeze all amounts and balances held in the digital wallet and escrow account for both parties, and forfeit them as compensation for breach of the contract terms and commission evasion.
• Pursue legal action against both parties and claim financial compensation for any material losses suffered by the platform as a result of this circumvention.

2. Acknowledgment and License for Use of Images and Media

By uploading any photos, videos, or media files to the platform, the user grants the platform a worldwide, ongoing, non-exclusive, royalty-free license to use, display, and publish such photos and media within the website, the platform's applications, or in its marketing and advertising campaigns on social media platforms and search engines.

Warranties: The user warrants that they are the exclusive legal owner of all uploaded photos, or hold sufficient legal permissions for them, and that they do not infringe the intellectual property or privacy rights of any third party. The user alone bears full legal and judicial responsibility should any dispute arise regarding ownership.

Financial waiver: The user acknowledges their voluntary waiver of any right to claim financial compensation or profits arising from the display or promotional use of their photos within the platform, as the artistic and promotional exposure gained through the platform is deemed fair and sufficient consideration.

1. Posting Offers and Jobs (Gigs)

The talent seeker (whether an individual acting on their own behalf or representing a company/agency) undertakes to post genuine, lawful job offers. Posting offers containing offensive content, content contrary to public decency, or content that violates local or international law is strictly prohibited. The project budget and timeframe must be specified precisely at the time of posting.

2. Financial Commitment and the Escrow System

By agreeing to contract with a given talent, the talent seeker voluntarily agrees to have the total amount (talent fee + platform commission) deducted from their internal wallet. The "Smart Agreement" is dedicated exclusively to wallet payment — if the balance is insufficient, the wallet must be topped up before the agreement is sent to the talent. External payment methods (card, cryptocurrency, etc.) are used solely to top up the wallet and not for direct contracting.

3. Holding and Releasing Funds

The talent seeker agrees that the amount will be held in the platform's escrow account once the talent accepts the "Smart Agreement." Funds are released to the talent only upon an explicit decision by the talent seeker after the work is completed — there is no automatic release upon expiry of the term. If the review period lapses without release by the talent seeker, the matter is automatically escalated to a dispute for review by platform management. The talent seeker may not claim a refund after work has begun except through a formal dispute.

4. The Smart Agreement

The agreement is created through the conversation between the two parties and specifies the amount, scope of work, and start and end dates. The agreement passes through the stages: draft → awaiting talent approval → in progress (escrow held) → completed (manual release) or disputed. The talent must expressly agree before any amount is held. The platform commission is locked at the moment the agreement is created and is not changed afterward.

1. Accuracy of Data and Files

The talent warrants that all information, resumes, photos, and video files uploaded to their personal account are genuine, are their own personal property, and do not infringe the ownership or privacy rights of any third party.

2. Work Execution and Timeliness

Upon accepting a job offer, the talent becomes obligated to carry out the required tasks to the highest professional standard and within the timeframe specified by the talent seeker. Any unjustified negligence or delay may expose the account to a negative rating, a freeze on amounts due, or permanent account closure following review by management.

3. Receiving Fees and Commissions

The talent agrees that the platform will deduct a specified commission percentage from the total project value as an administrative operating fee. The fee enters the talent's withdrawable wallet balance only after an explicit release by the talent seeker via the "Smart Agreement," or by an administrative decision in the case of a dispute.

1. The Platform Is a Technical Intermediary — Not a Financial Institution

The platform operates purely as a technical intermediary connecting talent seekers and talents, and manages the escrow system as an internal technical service to temporarily hold funds between parties. The platform is not a financial institution, a bank, or a payment gateway licensed under central bank regulations, and it does not provide any regulated financial services. Electronic payment transactions are processed exclusively through licensed third-party payment providers (such as Stripe).

2. Limitation of Liability for User Actions

The platform fully disclaims legal liability for any acts, conduct, or material or moral damages arising from dealings between talent seekers and talents. The platform is solely a technical intermediary environment for connection and financial escrow, does not participate in the performance of work, does not represent either party, and does not guarantee the conduct or professionalism of any user. Accordingly, users alone bear all risks arising from their contracts.

In no event shall the platform's legal liability exceed the value of the platform commission calculated on the transaction in dispute.

3. Dispute Resolution Policy

Should a dispute arise between the parties over the quality or performance of work before the agreed term expires, either party may file a dispute ticket with platform management. Both parties voluntarily agree to grant platform management the absolute and final authority as an independent arbitrator to review the conversations and files uploaded within the platform, and to issue a binding decision for both parties — either releasing the amount to the talent, returning it to the talent seeker, or splitting it between them as management deems fair.

The platform's role in arbitration is an administrative, facilitative role based on documented digital records, not a judicial or legal role. The platform bears no civil or criminal liability for the outcome of the arbitration.

4. Anti-Fraud and Anti-Money-Laundering

The platform applies strict anti-fraud policies. Using the platform's wallet to pass suspicious or unidentified funds is strictly prohibited. Platform management has the full right to immediately freeze any account or financial transaction suspected of illicit activity and to request official identification documents (such as a personal ID for individuals or a commercial registration for companies) to verify the legitimacy of a transaction before releasing any funds.

5. Indemnification

The user agrees to indemnify the platform and its employees, and hold them harmless from any claims, losses, damages, or legal costs (including attorneys' fees) arising from the user's breach of these terms, infringement of any third party's rights, or content the user has posted on the platform.

6. Disclaimer Regarding the Accuracy of Promotional Content

The figures and statistics displayed on the homepage are for informational and marketing purposes and reflect data available in the platform's database at the time of display. The platform bears no legal liability for decisions made based on these figures.
