1. Independent Parties

Partners are independent contractors. These Terms do not create a joint venture, franchise, or employment relationship.

2. Non-Exclusivity

Unless a separate signed agreement states otherwise, partnerships are non-exclusive.

3. Approval Process

Integration features require written or in-dashboard acceptance of the current Partner Terms version.

4. Beta Integrations

Preview APIs may change without backward compatibility guarantees.

1. Accurate Representation

Partners must not misrepresent affiliation, endorsement, or data access levels granted by UIGOL.

2. Compliance

Partners comply with applicable UAE law, export controls, AML/KYC obligations for their activities, and our سياسة الاستخدام المقبول.

3. Data Protection

Partners receiving personal data must implement appropriate security measures and use data only for contracted purposes.

• Execute a Data Processing Agreement when required.
• Notify UIGOL of breaches without undue delay.
• Delete data upon termination instructions.

4. Sub-Processors

Partners must disclose sub-processors handling UIGOL user data when requested.

1. Trademark License

UIGOL grants a limited, revocable license to use approved logos and name solely to identify the integration relationship.

2. Brand Guidelines

Follow published brand assets. Do not alter logo colors or imply exclusive partnership.

3. User Content

Partners must respect Content License and IP policies when handling user uploads.

4. Press Releases

Joint announcements require mutual written approval.

1. Commercial Terms

Revenue share, API fees, or listing fees are defined in partner schedules or dashboards.

2. Payment Timing

Partner payouts follow monthly cycles subject to minimum thresholds and fraud review.

3. Taxes

Partners invoice where required and bear their own tax obligations.

4. Chargebacks

Referral or revenue-share amounts tied to reversed transactions may be debited from partner balances.

1. For Convenience

Either party may terminate with notice defined in the partner schedule.

2. For Cause

Material breach, fraud, or reputational harm may trigger immediate suspension.

3. Effect of Termination

API keys deactivate, brand licenses end, and data must be returned or deleted except legal retention.

4. Transition Assistance

Reasonable export windows may be provided for partners terminating in good standing.

2. Partner Indemnity

Partners indemnify UIGOL against claims arising from partner products, misrepresentations, or data mishandling.

3. Governing Law

These Terms are governed by UAE law. Disputes follow our سياسة حل النزاعات unless a signed enterprise agreement specifies otherwise.
