إقرار المقاول المستقل
الإصدار: 2026-07-19-v2This Independent Contractor Acknowledgment ("Acknowledgment") confirms the contractual status of المواهب, crew members, production partners, and other service providers who use the UIGOL casting and production marketplace platform ("المنصة"). By accepting engagements through the المنصة, you acknowledge that you are an independent contractor and not an employee, agent, or representative of UIGOL.
أولاً: Contractor Status and No Employment Relationship
1. Independent Contractor Classification
This section addresses contractor classification in connection with the UIGOL casting and production marketplace platform ("المنصة") operated by UIGOL, a company incorporated in the United Arab Emirates ("UIGOL", "we", "us", or "our"). Users accessing the المنصة from the UAE, the wider GCC, or internationally acknowledge that applicable UAE federal laws, emirate-level regulations, and recognized industry standards may apply alongside the contractual terms accepted at registration.
Each الموهبة or service provider agrees to perform accepted engagements as an independent business operator responsible for their own taxes, insurance, and professional obligations in a manner consistent with professional casting and production industry practice, the المنصة's سياسة الاستخدام المقبول, and all applicable laws governing employment, labor, safety, privacy, and commercial conduct in jurisdictions where services are performed or consumed.
Except as expressly stated herein or in the شروط خدمة المنصة, UIGOL disclaims responsibility for day-to-day direction of creative performance on productions, which remains between the hiring party and the contractor. Nothing in this document creates a partnership, joint venture, agency, fiduciary, or employment relationship unless explicitly agreed in a separate signed instrument.
- You control the manner and means of performing accepted work subject to the creative brief, production schedule, and safety rules communicated by the hiring party.
- You may accept or decline offers at your discretion, subject to الاتفاقية الذكية commitments once accepted.
- You are free to offer services to other clients and platforms unless a separate exclusivity arrangement is expressly agreed in writing.
- UIGOL does not set your working hours, provide employee benefits, or withhold employment taxes on your behalf.
2. Tax and Regulatory Obligations
Contractors are solely responsible for determining and fulfilling tax registration, reporting, and payment obligations in every jurisdiction where income is earned.
UIGOL may collect information for anti-money-laundering or Know-Your-Customer purposes but does not provide tax advice.
- Obtain any trade license, freelancer permit, or professional registration required in the UAE or your home jurisdiction.
- Issue invoices or receipts where required by local law or by the hiring party.
- Maintain records of earnings received through the المنصة المحفظة and الضمان release mechanisms.
- Consult qualified tax professionals regarding VAT, corporate tax, or social contributions applicable to your activities.
3. Equipment, Expenses, and Insurance
Unless otherwise stated in a الاتفاقية الذكية agrees to supply personal equipment, wardrobe, travel, and subsistence at the contractor's expense in a manner consistent with professional casting and production industry practice, the المنصة's سياسة الاستخدام المقبول, and all applicable laws governing employment, labor, safety, privacy, and commercial conduct in jurisdictions where services are performed or consumed.
- Maintain adequate professional liability and, where applicable, health or equipment insurance.
- Verify that production insurance held by the hiring party covers your role or obtain supplemental coverage.
- Document agreed expense reimbursements in the الاتفاقية الذكية before incurring costs.
4. المنصة Role as Marketplace Intermediary
Except as expressly stated herein or in the شروط خدمة المنصة, UIGOL disclaims responsibility for contractual performance between hiring parties and contractors, including quality, timeliness, or on-set conduct. Nothing in this document creates a partnership, joint venture, agency, fiduciary, or employment relationship unless explicitly agreed in a separate signed instrument.
Questions, reports, or formal notices relating to this document may be submitted through the المنصة support center or compliance inbox identified in the Legal Center. UIGOL will acknowledge receipt of substantive compliance inquiries within a reasonable period and may request additional information necessary to investigate or respond.
ثانياً: الاتفاقيات الذكية and Engagement Terms
1. Contract Formation
A binding engagement arises when a contractor accepts a الاتفاقية الذكية specifying scope, compensation, timeline, and deliverables.
UIGOL is not a party to the underlying service contract except as الضمان agent and technical intermediary.
2. Payment Through الضمان
Fees are released from الضمان upon explicit approval by the hiring party or pursuant to the dispute resolution process.
المنصة commission is deducted as disclosed in the Fee Disclosure document.
- Contractors must maintain an active, verified المحفظة account to receive payouts.
- Chargebacks or payment reversals initiated by the hiring party's financial institution may delay or offset releases.
3. Subcontracting and Delegation
Contractors may not assign or subcontract an accepted engagement without prior written consent of the hiring party.
Unauthorized substitution may constitute breach and trigger account review.
4. Non-Circumvention
Off-platform dealings to evade fees violate شروط المنصة and may result in forfeiture of المحفظة balances and permanent suspension.
ثالثاً: Professional Obligations
1. Accuracy of Profile and Credentials
Contractors agrees to maintain truthful portfolios, reels, measurements, credits, and identity documentation in a manner consistent with professional casting and production industry practice, the المنصة's سياسة الاستخدام المقبول, and all applicable laws governing employment, labor, safety, privacy, and commercial conduct in jurisdictions where services are performed or consumed.
2. Compliance With Production Rules
Contractors must follow lawful direction of authorized production personnel regarding schedule, blocking, wardrobe, and safety.
- Arrive on time and prepared for call times confirmed through المنصة messaging.
- Respect confidentiality of scripts, treatments, and unreleased marketing materials.
- Refrain from unauthorized recording or social media disclosure from restricted sets.
3. Health and Fitness to Perform
Contractors represent that they are physically and mentally fit to perform agreed roles and will promptly disclose material limitations.
4. Conflicts of Interest
Disclose existing exclusivity, competing brand commitments, or scheduling conflicts before accepting an engagement.
رابعاً: Intellectual Property and Publicity
1. Work Product Ownership
Unless the الاتفاقية الذكية states otherwise, intellectual property in deliverables is allocated between the hiring party and contractor as industry practice and contract law dictate.
2. License to المنصة Content
Portfolio materials uploaded to the المنصة remain subject to the Content License terms accepted at upload.
3. Name, Image, and Likeness
Use of a contractor's likeness in final productions, trailers, or advertising requires appropriate release terms in the الاتفاقية الذكية or separate release.
4. Moral Rights
To the extent permitted by applicable law, contractors may waive or not assert moral rights necessary for exploitation of completed works.
خامساً: Termination and Remedies
1. Termination by Hiring Party
Hiring parties may terminate engagements according to الاتفاقية الذكية cancellation terms; unjustified termination may be reviewed in dispute resolution.
2. Termination by Contractor
Contractors who withdraw after acceptance may be subject to reputational penalties, fee adjustments, or suspension for repeated cancellations.
3. المنصة Suspension
UIGOL may suspend contractor accounts for fraud, harassment, safety violations, or circumvention regardless of employment classification.
4. Survival
Sections relating to confidentiality, IP, indemnity, and dispute resolution survive termination of المنصة access or individual engagements.
سادساً: Governing Law and Acknowledgment
1. Governing Law
This Acknowledgment is governed by the laws of the United Arab Emirates, subject to mandatory consumer protections where applicable.
2. Entire Understanding
This document supplements but does not replace the شروط خدمة المنصة, سياسة الخصوصية, and accepted الاتفاقيات الذكية.
3. Electronic Acceptance
Continuing to use the المنصة or accepting engagements constitutes acknowledgment of independent contractor status.
4. Updates
Material updates will be reflected by version date (current: 2026-07-19-v2). Continued use after notice constitutes acceptance where permitted by law.
